Terms of Service
These terms apply when you use zaylem.com or engage Zaylem to manage Google Ads and related tracking. By requesting a service, signing a proposal or paying an invoice, you agree to them on behalf of your business.
Last updated: October 22, 2026
1. The services
Zaylem provides Google Ads strategy and management: account audits, campaign structure and build, Shopping and Performance Max setup, feed optimisation, bidding and creative testing, remarketing and YouTube, plus measurement work such as GA4, Google Tag Manager and server-side tracking. Deliverables, timelines and fees are defined in the written proposal or statement of work for your engagement. Anything not listed is out of scope and can be added by agreement.
2. Engagement and fees
Engagements run month-to-month with no long-term lock-in; either side can end them with 30 days’ written notice. Management fees are billed in advance and are due on the invoice date unless a proposal states otherwise. Ad spend is your cost, paid directly to Google from your own billing account — we never hold or reimburse ad spend unless explicitly agreed. Late invoices may incur reasonable recovery costs. We recommend a monthly ad budget of at least $3,000 so optimisation has enough data to work with.
3. What you provide
You give us accurate information, timely access to Google Ads, GA4, Tag Manager, Merchant Center, your store platform and any creative or product data we need, and prompt approvals and feedback. You keep billing details valid with Google and remain responsible for your products, pricing, claims, landing pages, shipping, fulfilment, refunds and legal compliance of your offers. Delays on your side can delay results and are not attributable to us.
4. Ad account ownership and platform rules
You own your ad accounts, data and creative assets. We work inside your accounts and hand over anything we build. Both sides must follow Google Ads policies and applicable advertising law; we can pause or recommend pausing campaigns that risk suspension, and we are not responsible for Google’s policy decisions, account suspensions, or changes to their platforms and algorithms.
5. No guaranteed results
Marketing performance depends on many factors outside our control — competition, auction prices, seasonality, product, pricing, site conversion rate and your own decisions. We commit to a professional, data-driven process and honest reporting, but we do not guarantee any specific ROAS, revenue, ranking, spend level or outcome. Any figures shown on this site are illustrative examples of past work, not a promise of similar results.
6. Confidentiality
Each side keeps the other’s confidential information private and uses it only to perform the engagement. This survives termination and does not cover information that is public, independently developed, or required to be disclosed by law.
7. Intellectual property
You keep ownership of your brand, data and materials. On full payment you own the campaign structures, copy and reports we deliver for you. We may reuse our general frameworks, templates and know-how, and — with your permission — reference your brand and results in our marketing. You grant us a licence to use your assets for the engagement; you confirm you have the rights to the assets you provide.
8. Liability
To the maximum extent permitted by law, neither side is liable for indirect, incidental or consequential losses, and our total liability for anything arising from the engagement is capped at the fees you paid us in the 3 months before the claim. Nothing limits liability for fraud, wilful misconduct, or anything that cannot lawfully be limited. Ad spend, platform penalties, and your own business decisions remain your responsibility.
9. Termination
Either side can terminate month-to-month with 30 days’ notice, or immediately for material breach that is not cured within 14 days of notice, or for non-payment. On termination you pay for work performed to that date, we hand over access and documentation, and we stop using your assets. We can also pause work if access is revoked or payment is overdue.
10. General
These terms are the whole agreement between us for the services, and override any conflicting terms in your purchase orders. Neither side is liable for delays caused by events beyond reasonable control. We may update these terms; the current version on zaylem.com applies to engagements started after the update. Governing law and venue: the State of [State], United States. If one clause is unenforceable, the rest still stands.
